2. Scope of Application
These Terms and Conditions apply exclusively to sales made through the website to businesses, companies, retailers, merchants, professionals, and other economic operators purchasing goods for purposes related to their business or professional activities.
Such parties are hereinafter referred to as "Customers".
These Terms and Conditions do not apply to purchases made by private consumers, which are governed by separate terms of sale.
A Customer's status as a business purchaser depends on the actual nature and purpose of the purchase, rather than solely on the provision of a VAT number or other business details.
By making a purchase through the B2B section of the website, the Customer declares that they are acting in the course of their business or professional activities.
3. Registration and Access to the B2B Area
Access to prices reserved for business customers requires registration on the website and approval of the account by Due Toscani.
During registration, Customers must provide complete, accurate, and up-to-date information about their business activities.
Due Toscani reserves the right to verify the information provided and to refuse or suspend access to the B2B area in cases of false information, improper use, or other objectively justified reasons.
Customers are responsible for all activities carried out through their accounts and must take appropriate measures to prevent unauthorized access.
4. Available Products and Minimum Order Quantities
Due Toscani sells knitwear and textile accessories, primarily manufactured from virgin cashmere, recycled cashmere, merino wool, and other fibers.
Products available for purchase are those listed on the website and in stock at the time of ordering.
There is no minimum order quantity (MOQ) unless otherwise specified for individual products.
Customers may purchase even a single item, subject to availability.
Product availability may change without prior notice. If an item becomes unavailable after an order has been placed, the Customer will be informed and may agree to an alternative solution or receive a refund for the unavailable items.
5. Product Characteristics
The essential characteristics of each product, including fiber composition, dimensions, colors, and other specifications, are provided on the relevant product pages.
Product images are for illustrative purposes.
Due to screen settings, lighting conditions, and material characteristics, the actual colors of products may differ slightly from those displayed online.
Natural and recycled fibers may also exhibit characteristics inherent to the materials and manufacturing processes.
Such characteristics do not automatically constitute defects, provided they do not compromise the product's conformity with the agreed specifications and required quality standards.
6. Products Without Due Toscani Brand Labels
Unless otherwise stated on the relevant product page, items are supplied without commercial labels bearing the Due Toscani brand.
Products are supplied with the textile information and labeling required by applicable legislation.
Customers may independently attach their own brand labels or commercial labels after receiving the goods.
Due Toscani does not provide individual application of Customers' brand labels to products purchased through the website.
Customers who attach their own branding are responsible for complying with all applicable legal requirements arising from such activities, including labeling, traceability, and product safety obligations.
Mandatory product information already present on the goods must not be removed or altered in violation of applicable legislation.
7. Prices and Taxes
Prices reserved for B2B Customers are displayed after logging into an approved business account.
All prices are expressed in euros unless otherwise indicated.
VAT and other applicable taxes are calculated in accordance with current tax legislation, taking into account the nature of the transaction, the destination country, and the Customer's tax status.
The total price, including applicable taxes and shipping charges, must be communicated before the Customer confirms the purchase.
Any customs duties, import taxes, and charges imposed by the authorities of the destination country shall be borne by the Customer unless expressly agreed otherwise.
Due Toscani reserves the right to change published prices at any time. Such changes shall not affect orders already accepted.
8. Ordering Procedure and Contract Formation
Customers may purchase available products by following the ordering procedure provided on the website.
The procedure includes selecting products, entering the required information, choosing shipping and payment methods, and reviewing the order summary.
Before submitting the order, Customers may review and correct the information entered.
Submitting an order constitutes an offer to purchase.
The sales contract is concluded when Due Toscani communicates its acceptance of the order through electronic confirmation or another unequivocal communication.
An automated acknowledgment of receipt, where expressly identified as such, does not necessarily constitute acceptance of the order.
Due Toscani may decline orders due to product unavailability, obvious material errors, payment failure, irregular information, or other objectively justified reasons.
If an order that has already been paid for is not accepted, the amounts received will be refunded without undue delay.
Customers will receive order information at the email address provided and may access the information made available through their accounts, according to the website's functionality.
9. Payment Methods
Payments are processed through the payment methods available at checkout.
Orders are processed according to the terms applicable to the selected payment method.
Due Toscani is not required to dispatch products before payment has been confirmed unless different commercial arrangements have been agreed.
Where deferred payment terms have been agreed, the applicable legislation on late payments in commercial transactions shall apply, including Italian Legislative Decree No. 231/2002, where relevant.
10. Shipping and Delivery
Due Toscani ships products within Italy and internationally through selected couriers and logistics providers.
Available destinations, delivery methods, and shipping costs are those communicated during checkout or expressly agreed before the contract is concluded.
Estimated delivery times are indicative unless a binding delivery deadline has been expressly agreed.
Delays not attributable to the Seller shall be handled in accordance with the applicable contractual and legal provisions.
The transfer of risk relating to loss of or damage to the goods shall be governed by Article 1510 of the Italian Civil Code, unless otherwise agreed or required by applicable legislation.
For international sales, any specifically agreed delivery terms shall prevail over these general provisions to the extent permitted by law.
11. Inspection of Goods Upon Delivery
Customers are advised to promptly inspect the goods upon delivery, checking:
-
The number of packages received.
-
The external condition and integrity of the packaging.
-
Whether the products received correspond to those ordered.
-
Any visible damage.
If the packaging is damaged, Customers are advised to note a specific reservation on the courier's delivery document and document the damage with photographs.
Any irregularities should be reported promptly to Due Toscani.
Failure to note a reservation upon delivery does not automatically constitute a waiver of rights granted by law.
12. Warranty Against Product Defects
B2B sales are subject to the warranty provisions governing defects under Articles 1490 et seq. of the Italian Civil Code, without prejudice to any applicable special or international legislation.
The Seller shall be liable for defects in the circumstances and within the limits established by applicable law.
Pursuant to Article 1495 of the Italian Civil Code, Customers must generally notify the Seller of defects within eight days of discovering them.
Warranty claims are generally subject to a limitation period of one year from delivery, subject to statutory exceptions.
The remedies available to Customers are those provided under Articles 1492 et seq. of the Italian Civil Code and any other applicable provisions.
Procedures for reporting defects and handling complaints are described in the B2B Returns and Refund Policy.
13. Returns and Right of Withdrawal
Purchases made in the course of business or professional activities are not subject to the statutory 14-day right of withdrawal provided to consumers under the Italian Consumer Code.
Due Toscani does not offer a general contractual right to return goods due to a change of mind.
In particular, returns are not automatically accepted where they arise from purchasing errors made by the Customer, changes in business requirements, or the inability to resell the goods.
Voluntary returns may only be authorized through a written agreement.
All statutory rights relating to defects, non-conformity, or breaches of contract by the Seller remain fully applicable.
14. Resale of Products
Products purchased through the B2B area may be resold, subject to compliance with applicable legislation.
Customers are responsible for their own commercial activities, the information provided to their buyers, and all obligations arising from subsequent resale.
Failure to resell purchased products does not entitle Customers to request their return or a refund from Due Toscani.
Customers must ensure that products are marketed in accordance with the regulations applicable in the destination market.
15. Shipping to Third Parties and Dropshipping
Where this service is available, Customers may request delivery directly to an address other than their own, including the address of their end customers.
The sales contract remains exclusively between Due Toscani and the business Customer placing the order.
The Customer remains responsible for the accuracy of the shipping information provided and for all commercial relationships with their own buyers.
Where the Customer resells products to consumers, obligations relating to consumer withdrawal rights, after-sales assistance, and consumer warranties remain the responsibility of the Customer acting as the seller to the consumer.
This does not affect any warranty rights or other remedies available to the business Customer against Due Toscani under applicable law and the contract.
16. Product Care, Use, and Maintenance
Customers must follow the care, washing, and storage instructions provided with the products.
Due Toscani shall not be liable for damage caused exclusively by improper washing, unsuitable treatments, inadequate storage, subsequent modifications, or incorrect use.
Pilling, where consistent with the nature of the fibers and the normal use of the garment, does not automatically constitute a defect.
Any complaint will be assessed taking into account the characteristics of the material and the actual condition of the product.
17. Intellectual Property
Website content, including text, photographs, trademarks, logos, graphic elements, and other protected materials, belongs to the respective rights holders.
Unauthorized commercial use of such content is prohibited, except where permitted by law.
Purchasing products does not grant Customers any intellectual property rights over the Seller's content or trademarks.
18. Liability
Due Toscani shall be liable for breaches of contract and damage attributable to its conduct within the limits established by applicable law.
Due Toscani shall not be liable for damage arising exclusively from improper conduct by the Customer, unauthorized modifications, or use of products contrary to their intended purpose.
Nothing in these Terms and Conditions shall exclude or limit liability in cases of willful misconduct, gross negligence, or any other circumstances in which liability cannot lawfully be excluded or limited.
19. Force Majeure
Where extraordinary, unforeseeable, and unavoidable events prevent or delay the performance of contractual obligations, the parties shall apply the relevant legal provisions.
Due Toscani will inform the Customer of any significant impediments and their potential consequences for the order.
20. Personal Data Protection
Personal data relating to Customers and their representatives is processed in accordance with Regulation (EU) 2016/679 (GDPR) and applicable Italian legislation.
Further information is available in the Privacy Policy published on the website.
21. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by Italian law, without prejudice to mandatory legal provisions and international conventions that may apply.
For disputes arising from B2B contracts, the Court of Prato, Italy, shall have exclusive jurisdiction to the extent permitted by applicable law.
22. Amendments to the General Terms and Conditions
Due Toscani reserves the right to amend these Terms and Conditions at any time.
Updated Terms and Conditions shall apply to orders placed after their publication and acceptance, without unilaterally modifying contracts already concluded.
23. Acceptance of the Terms and Conditions
Customers must review and accept these General Terms and Conditions of Sale before completing their orders.
Where required by Italian law, clauses requiring specific approval pursuant to Articles 1341 and 1342 of the Italian Civil Code must be accepted separately.
In particular, where applicable, the Customer specifically approves the following provisions:
-
Article 13 – Returns and Limitations on Contractual Withdrawal Rights.
-
Article 18 – Liability, insofar as any provisions constitute contractual limitations of liability.
-
Article 21 – Governing Law and Jurisdiction.
The invalidity or unenforceability of any individual clause shall not automatically affect the validity or enforceability of the remaining provisions.
